Welcome to wholesale.ashimaananda.com. These Wholesale Terms and Conditions ("Terms") govern your wholesale purchases and our relationship with you, a wholesale customer ("Wholesaler"). By placing a wholesale order with Sacred Earth Magick/Ashima Ananda, you agree to be bound by these Terms.

1. Acceptance of Terms

Your access to and use of our wholesale services are conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the wholesale services.

2. Eligibility and Account Registration

To become a Wholesaler, you must be a legitimate business with a valid resale license or business license. You agree to provide accurate and complete information during the registration process and to keep your account information up to date. You are responsible for maintaining the confidentiality of your account login information and for all activities that occur under your account.

3. Ordering and Minimum Order Requirements

All wholesale orders must be submitted in writing via [e.g., our website, email, designated B2B portal]. We reserve the right to accept or reject any order at our sole discretion.

Minimum Order Quantity (MOQ): A minimum order of $189.00 is required for all wholesale orders. Orders that do not meet this minimum will not be processed.

4. Pricing and Payment Terms

Pricing: All prices are listed in U.S. Dollars ($) and are subject to change without notice. Wholesale prices are confidential and are for the Wholesaler's use only. Prices do not include taxes, duties, or shipping fees unless otherwise stated.

Payment: Payment for all orders must be made in full before the order is shipped. We accept Paypal. Failure to make timely payments may result in the cancellation of your order or the suspension of future orders.

5. Shipping and Delivery

Shipping: Orders will be shipped via USPS unless otherwise specified. Shipping costs are the responsibility of the Wholesaler. We are not responsible for delays in shipping or delivery due to circumstances beyond our control.

Risk of Loss: The risk of loss and title for all products purchased from us passes to you upon our delivery to the shipping carrier.

Inspection: You must inspect all products immediately upon receipt. Any claims for shortages, damages, or defects must be reported to us within 3 business days of delivery.

6. Returns, Exchanges, and Refunds

Non-Defective Products: We do not accept returns or exchanges for non-defective products. All sales are final.

Defective or Damaged Products: If you receive a defective or damaged product, you must notify us within 3 business days of receipt. We will, at our discretion, either replace the product or issue a refund. You may be required to provide photographic evidence of the damage or defect.

7. Product Information and Representation

All product descriptions, images, and specifications are provided for informational purposes only. While we strive for accuracy, we do not warrant that all information is complete, reliable, current, or error-free. You are responsible for independently verifying the suitability of our products for your intended use.

8. Confidentiality

All wholesale pricing, product information, and other non-public information provided to you are confidential. You agree not to disclose this information to any third party without our prior written consent.

9. Intellectual Property

All content on our website and all products, including but not limited to text, graphics, logos, images, and product designs, are the property of Sacred Earth Magick/Ashima Ananda or its suppliers and are protected by intellectual property laws. You may not use, copy, or distribute our intellectual property without our express written permission.

10. Limitation of Liability

In no event shall Sacred Earth Magick/Ashima Ananda, its directors, employees, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the wholesale services; (ii) any conduct or content of any third party on the wholesale services; (iii) any content obtained from the wholesale services; and (iv) unauthorized access, use, or alteration of your transmissions or content.

11. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. You agree that any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Alameda County, California.

12. Dispute Resolution

Any dispute arising from these Terms will first be attempted to be resolved through good faith negotiations. If a resolution cannot be reached, the parties agree to enter into binding arbitration in Alameda County, California in accordance with the rules of the American Arbitration Association.

13. Termination

We may terminate or suspend your wholesale account and bar access to the wholesale services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

14. Force Majeure

We shall not be liable for any failure to perform our obligations where such failure is a result of any cause beyond our reasonable control, including but not limited to acts of God, war, riot, fire, flood, or other natural disaster.

15. Miscellaneous Provisions

Entire Agreement: These Terms constitute the entire agreement between you and Sacred Earth Magick/Ashima Ananda regarding your wholesale purchases.

Waiver: The failure of Sacred Earth Magick/Ashima Ananda to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Severability: If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions will remain in effect.
